Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and ReferLyst LLC ("ReferLyst LLC," "we," "us," or "our") governing your access to and use of the ReferLyst website, applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at hello@referlyst.com of any unauthorized use.

We may suspend or terminate accounts that violate these Terms, pose security risks, or remain inactive for an extended period.

ReferLyst helps users create and share referral lists, vendor recommendations, public pages, and related content. Features may change over time. We do not guarantee uninterrupted or error-free operation.

Free and paid plans may have different limits and features as described on our pricing page. Paid subscriptions renew according to the billing terms presented at checkout unless canceled.

You retain ownership of content you submit, including list titles, vendor information, photos, links, terms shown to applicants, and public page customizations ("User Content").

You grant ReferLyst LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute User Content solely to operate, improve, and promote the Service.

You represent that you have all rights necessary to submit User Content and that it does not infringe third-party rights or violate law.

List owners may collect vendor applications through join pages. ReferLyst LLC is not a party to relationships between list owners, vendors, or end users. We do not vet vendors, guarantee quality, or endorse any recommendation.

Any payment arrangements between list owners and vendors (including paid join fees) are solely between those parties unless explicitly processed by ReferLyst LLC as a merchant of record.

You agree not to misuse the Service. See our Acceptable Use Policy for details. Prohibited conduct includes fraud, harassment, scraping, malware, impersonation, spam, illegal content, and attempts to bypass security or plan limits.

The Service, including software, branding, design, and documentation, is owned by ReferLyst LLC or its licensors and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks except as needed to use the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT USER CONTENT, VENDOR LISTINGS, OR THIRD-PARTY LINKS ARE ACCURATE, COMPLETE, SAFE, OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFERLYST LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

You will defend, indemnify, and hold harmless ReferLyst LLC and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, your violation of these Terms, or your violation of any third-party rights.

You may stop using the Service at any time. We may suspend or terminate access immediately for violations, legal requirements, or risk to the platform. Upon termination, sections that by nature should survive will survive, including intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution.

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where mandatory consumer protections apply in your country of residence.

Except where prohibited, you and ReferLyst LLC agree that disputes will be resolved through binding individual arbitration rather than in court, and you waive any right to participate in a class action. You may opt out of arbitration within thirty (30) days of account creation by emailing hello@referlyst.com.

Either party may seek injunctive relief in court for intellectual property misuse or unauthorized access.

We may update these Terms from time to time. We will post the revised version at https://referlyst.com/terms and update the "Last updated" date. Material changes may be notified by email or in-product notice. Continued use after changes become effective constitutes acceptance.
